Affiliate Program Agreement

Effective Date: April 8, 2025

PLEASE READ THIS AFFILIATE PROGRAM AGREEMENT CAREFULLY.

This agreement is between you (the “Affiliate”) and HolyPay, a DBA of Holymunity, Inc. It sets forth the terms for participating in the HolyPay Community Ambassador Affiliate Program (“Affiliate Program”). By joining, you agree to these terms.

We may periodically update this agreement. Any changes will be communicated electronically, either via the Affiliate Portal or email. If you disagree with any updates, you may terminate your participation as described below.

Terms such as “We,” “Us,” “Our,” “HolyPay,” and “Holymunity” refer to Holymunity, Inc., while “You” or “Affiliate” refer to the party entering this agreement.

Definitions

  • Affiliate Program: HolyPay’s affiliate program as outlined in this agreement.
  • Affiliate Lead: A business or merchant that registers with HolyPay using your unique affiliate code.
  • Affiliate Code: The unique code assigned to you to promote HolyPay within your community.
  • Affiliate Policies: Guidelines and rules applicable to affiliates, accessible to you as updated.
  • Affiliate Portal: The online portal provided to you upon acceptance, used for managing program participation.
  • Agreement: This Affiliate Program Agreement and all materials referenced within.
  • Commission: Earnings based on a revenue share from each customer transaction processed by an Affiliate Lead.
  • Customer: A consumer who uses the HolyPay platform to pay for goods or services at an Affiliate Lead.
  • Customer Transactions: Payments made by customers through HolyPay at an Affiliate Lead’s location.
  • HolyPay Content: Information, media, and materials HolyPay provides as part of its services.
  • Inactive Affiliate Lead: A merchant or business without a an active campaign on the HolyPay platform.
  • Program Policies Page: The page that contains current guidelines and policies.
  • Services: HolyPay’s platform, software, and related applications, excluding any third-party applications.

Non-Exclusivity

This agreement does not create an exclusive relationship between you and HolyPay.

Affiliate Acceptance

Your application to become an affiliate will be reviewed, and we will notify you of acceptance. We may request additional information before approval and may set specific requirements or certifications. If you do not receive an acceptance notification within 30 days, consider your application rejected.

Once accepted, this agreement’s terms apply in full until terminated as set forth below. You agree to follow the terms and program policies at all times.

Customer Transactions

1. Affiliate Program Limits. If an Affiliate Lead remains inactive for over 90 days after HolyPay service is available in their area, we may expire and reassign the lead.

2. Eligibility. To be eligible for Commission: (i) An Affiliate Lead must have an active HolyPay merchant account, and (ii) At least one customer transaction must have occurred. The Commission is forfeited if it violates local laws, arises from fraud, misuse of codes, or violates program policies.

3. Acceptance and Validity. Commission is only payable on valid Customer Transactions from accepted Affiliate Leads generated via your unique Affiliate Code. HolyPay may decline an Affiliate Lead at its discretion.

4. Commission and Payment. To receive payments, you must: (i) Agree to the terms of this Agreement; (ii) Complete your account setup in the Affiliate Portal; (iii) Maintain an up-to-date payment method and submit necessary tax documentation.

5. Commission Payment. We do not pay more than one commission on the same transaction unless at our discretion.

6. Taxes. You are responsible for all applicable taxes. Any amounts payable may be offset against amounts you owe us.

7. Commission Amounts. 0.5% of the total transaction at an Affiliate Lead.

8. Commission Bonus. $50 bonus for each new verified Affiliate Lead once they process $500.00 in customer transactions via HolyPay.

Affiliate Engagement Requirement

At HolyPay, we value the meaningful relationships our Community Ambassadors build with local businesses. To ensure long-term impact, growth, and continued success for all parties involved, we ask that Ambassadors remain engaged and proactive with the businesses they’ve referred.

To maintain eligibility for ongoing commission payments, Ambassadors must remain in good standing—which means continuing to support their referred businesses and upholding the values of integrity, consistency, and community-driven service.

1. What Good Standing Looks Like. We understand that everyone’s schedule is different, and business relationships naturally evolve. Our goal is not to impose rigid rules, but to ensure that referred businesses feel supported and stay actively engaged with the HolyPay platform. With that in mind, here are the baseline expectations:

  • Regular check-ins:
    Aim to connect once per month in person (when practical) with each active referred business. These visits are opportunities to offer support, gather feedback, introduce new features, and help strengthen the business’s success with HolyPay.

  • Monthly engagement report:
    Submit a brief monthly summary of your check-ins—highlighting key updates, feedback, or opportunities you’ve identified. This helps our team stay aligned and support you and the merchants more effectively.

  • Responsiveness:
    Stay responsive to HolyPay communications regarding merchant activity, platform updates, or affiliate-related matters. We’ll always aim to keep communication relevant and respectful of your time.

2. Annual Review. To ensure our program remains impactful and fair, HolyPay will conduct a yearly review of your Ambassador status for each referred business. This takes place on the anniversary of when the business registered with HolyPay.

a. The review helps us:

  • Recognize and reward Ambassadors who remain active

  • Identify where extra support or clarification might be needed

  • Ensure each business continues to receive the value and service they deserve

b. The review will consider:

  • Your check-in and engagement history

  • Responsiveness to HolyPay communications

  • Ongoing alignment with the spirit and values of the program

3. Commission Revocation & Reassignment. If an Ambassador is found to be inactive, unresponsive, or not meeting the program’s engagement expectations, HolyPay may:

  • Suspend or permanently revoke commission eligibility for the affected businesses

  • Reassign the business to another Community Ambassador who is actively serving in the area

We will always provide written notice and an opportunity to re-engage before any permanent decisions are made. Our goal is to protect the integrity of the program while giving Ambassadors the chance to step back in if circumstances allow.

Training and Support

We may offer webinars and resources free of charge. We encourage you to participate in recommended training or certification.

Trademarks

You grant us a non-exclusive, non-transferable, royalty-free right to use and display your trademarks as part of this program.

During the term of this Agreement, in the event that we make our trademark available to your use within the Affiliate Tool, you agree to follow these terms. You must: (i) use only the HolyPay trademark images provided, unaltered; (ii) only use trademarks in connection with this program; (iii) Discontinue use immediately if requested. You may not use our trademarks in a misleading, derogatory, or illegal manner.

Proprietary Rights

HolyPay retains all rights to its platform and content. No software license is granted under this agreement. You may not copy, distribute, or create derivative works based on HolyPay’s intellectual property without prior written authorization.

Confidentiality 

“Confidential Information” includes all HolyPay customer and prospect information designated as confidential. It excludes public or previously known information. Each party agrees to: (i) protect the other party’s Confidential Information with reasonable care; (ii) limit its use and access to within the scope of this agreement; and (iii) disclose it only if legally required.

Opt-Out and Unsubscribing

You must promptly honor all opt-out, unsubscribe, “do not call,” and “do not send” requests throughout your participation.

Term and Termination

1. Term. This Agreement will apply for as long as you participate in the Affiliate Program, until terminated.

2. Termination Without Cause.  Either party may terminate with fifteen (15) days’ written notice.

3. Termination for Agreement ChangesIf we update this agreement, you may terminate with five (5) days’ notice provided it’s within ten (10) days of the change notice.

4. Termination for Cause.  We may terminate immediately if there is a material breach or conduct harmful to HolyPay

5. Effects of Expiration/Termination. If terminated: (i) Commissions will be paid only on eligible transactions completed within thirty (30) days of termination, except for terminations by us for cause; and (ii) you will cease using all HolyPay trademarks and references.

Affiliate Representations and Warranties 

You represent that you are authorized to enter this agreement and agree not to engage in misleading or unethical practices.

Indemnification

You will indemnify HolyPay against any claims arising from your program participation, data use, or breach of this agreement. HolyPay will notify you within 30 days if a claim arises, and you will handle the defense or settlement.

Disclaimers; Limitations of Liability

1. Disclaimer of WarrantiesHolyPay services are provided “as is” without warranty. Availability may vary.

2. No Indirect DamagesNeither party will be liable for indirect or consequential damages.

3. Limitation of LiabilityHolyPay’s liability is limited to the total commission earned by you in the 12 months preceding the claim.

4. Affiliate Portal. We do not guarantee the portal’s availability.

General

1. Amendments and WaiversWe may update this agreement at any time. The updated version is binding the next business day after notification.

2. Applicable LawCalifornia law governs this agreement, with disputes resolved in Los Angeles.

3. Force MajeureNeither party is liable for delays due to events outside their control.

4. Actions PermittedAny claims must be made within one (1) year of the cause

5. Relationship of the PartiesThis agreement does not establish any partnership or agency relationship.

6. SeverabilityInvalid terms will be replaced by valid terms that align closely with the original intent.

7. NoticesNotices will be sent to the addresses provided in our records.

We may give electronic notices specific to you by email to your e-mail address(es) on record in our account information for you. We may give notice to you by telephone calls to the telephone numbers on record in our account information for you.

8. Entire AgreementThis agreement supersedes all prior proposals and agreements.

9. Assignment. We may assign this Agreement to any affiliate or in the event of merger, reorganization, sale of all or substantially all of our assets, change of control or operation of law.

10. No Third Party BeneficiariesThis agreement does not grant rights to third parties.

11. Program Policies PageProgram policies may be updated; you agree to comply with them.

12. No LicensesOnly rights expressly granted in this agreement are conferred.

13. AuthorityEach party affirms authority to enter this agreement.

14. SurvivalCertain sections, including those on commission, proprietary rights, and liability, will survive termination.

15. Data Processing and ProtectionHolyPay is an independent controller of personal data shared with affiliates.
