Affiliate Program Agreement

Effective Date: April 8, 2025

PLEASE READ THIS AFFILIATE PROGRAM AGREEMENT CAREFULLY.

This agreement is between you (the “Affiliate”) and HolyPay, a DBA of Holymunity, Inc. It sets forth the terms for participating in the HolyPay Community Ambassador Affiliate Program (“Affiliate Program”). By joining, you agree to these terms.

We may periodically update this agreement. Any changes will be communicated electronically, either via the Affiliate Portal or email. If you disagree with any updates, you may terminate your participation as described below.

Terms such as “We,” “Us,” “Our,” “HolyPay,” and “Holymunity” refer to Holymunity, Inc., while “You” or “Affiliate” refer to the party entering this agreement.

1. Program Overview

The HolyPay Community Ambassador Program allows approved Affiliates to refer businesses to HolyPay in exchange for commission payments and bonuses.

Affiliates will receive a unique referral code or referral link to share with prospective merchants.

2. Qualified Referral

A “Qualified Referral” is a business that:

  • Registers through your referral link or affiliate code;
  • Is approved by HolyPay;
  • Successfully activates a HolyPay merchant account; and
  • Begins actively processing transactions through the HolyPay platform.

HolyPay reserves the right to determine eligibility of all referred businesses.

3. Commission Structure

Affiliates will earn:

a) Onboarding Bonus

Affiliates will receive a one-time $50 onboarding bonus for each Qualified Referral that:

  • Successfully activates on the HolyPay platform; and
  • Processes at least one (1) customer transaction through the platform.

b) Recurring Commission

  • 0.5% recurring commission based on the total payment volume processed through HolyPay by each Qualified Referral.
  • Recurring commissions will be paid for up to twenty-four (24) months from the date the referred business first becomes active on the platform.

4. Payment Terms

Commission and bonus payments will be issued monthly via ACH bank transfer through the Ramp platform.

Affiliates will be invited to create a Ramp account, connect the bank account where payments will be deposited, and submit any required tax information through the Ramp platform.

To receive payment, Affiliates must:

  • Maintain accurate banking and payment information;
  • Submit all required tax documentation; and
  • Remain in good standing with the Program.

HolyPay reserves the right to withhold payments related to suspected fraud, abuse, refunded transactions, or violations of this Agreement.

5. Affiliate Responsibilities

Affiliates agree to:

  • Represent HolyPay honestly and professionally;
  • Avoid misleading, deceptive, or unethical marketing practices;
  • Comply with all applicable laws and regulations; and
  • Respect HolyPay brand guidelines and policies.

Affiliates may not:

  • Misrepresent HolyPay services;
  • Engage in spam or unauthorized advertising;
  • Use deceptive claims; or
  • Infringe on HolyPay intellectual property.

6. Program Participation

HolyPay reserves the right to:

  • Approve or reject any affiliate application;
  • Reject or remove referred businesses;
  • Modify or discontinue the Program; or
  • Suspend or terminate Affiliate participation at any time for violations of this Agreement.

7. Term and Termination

Either party may terminate participation in the Program at any time with written notice.

If this Agreement is terminated:

  • Future commissions will cease after termination;
  • Any unpaid eligible commissions earned prior to termination may still be paid at HolyPay’s discretion; and
  • Affiliates must stop using HolyPay branding and promotional materials immediately.

8. Independent Contractor Relationship

Affiliates are independent contractors and are not employees, agents, partners, or representatives of HolyPay.

Nothing in this Agreement creates a partnership, joint venture, or employment relationship.

9. Limitation of Liability

HolyPay provides the Program and platform “as is” without warranties of any kind.

HolyPay will not be liable for indirect, incidental, or consequential damages related to participation in the Program.

10. Changes to the Agreement

HolyPay may update this Agreement from time to time. Continued participation in the Program after updates constitutes acceptance of the revised terms.

11. Arbitration Agreement

Any dispute, claim, or controversy arising out of or relating to this Agreement, the Affiliate Program, or the relationship between the parties shall be resolved exclusively through final and binding arbitration, rather than in court, except that either party may seek injunctive or equitable relief for misuse of intellectual property or confidential information.

The arbitration shall be administered by the American Arbitration Association (“AAA”) in accordance with its applicable commercial arbitration rules.

The arbitration will take place in Los Angeles County, California, unless otherwise agreed by both parties.

Each party will be responsible for its own legal fees and costs unless otherwise determined by the arbitrator.

The parties agree that:

  • Arbitration will be conducted on an individual basis only;
  • Class actions and class arbitrations are not permitted; and
  • The arbitrator’s decision shall be final and binding and may be entered in any court of competent jurisdiction.

By participating in the Program, both parties waive the right to a jury trial or to participate in a class action lawsuit.

12. Governing Law

This Agreement shall be governed by the laws of the State of California.

Any disputes arising under this Agreement shall be resolved in Los Angeles County, California.
